American TonerServ Announces Intention to Acquire iPrint Technologies, Inc.


SANTA ROSA, CA, Jul 17, 2008 (MARKET WIRE via COMTEX News Network) -- American TonerServ Corp. (OTCBB: ASVP) ("ATS"), a strategic consolidator in the more than $6.0 billion highly fragmented printer supplies and services industry and a leading recycler of toner cartridges, announced today it has executed a Letter of Intent to acquire certain assets of iPrint Technologies, Inc. iPrint Technologies ("iPrint) operates out of the greater Los Angeles area (Chatsworth, California), and the San Francisco Bay area (Larkspur, California). iPrint focuses on providing printing supplies and service to Fortune 1000 companies nationwide.

According to unaudited financial information provided to ATS by iPrint, the business generated approximately $12 million in revenue for the twelve months ended June 30, 2008. Consideration for the purchase would be determined based on a due diligence review of iPrint's financial statements and other factors, but is expected to include a combination of cash, ATS stock and a promissory note.

The acquisition is subject to the completion of due diligence, negotiation and execution of a definitive purchase agreement, the completion of an audit of iPrint's financial statements, as well as customary closing conditions. Additional information related to this transaction will be disclosed upon the execution of a definitive purchase agreement. The LOI provides that the parties will endeavor to complete the transaction within the next 90 days.
