TriMega Purchasing Association Acquires SmartXpress


Rosemont, IL (Jan.6, 2011) - TriMega Purchasing Association and SmartXpress announced an agreement today through which TriMega has acquired SmartXpress, a Palatine, IL based online supplier of office products serving small and medium sized business, non-profit organizations, and retail consumers over the web. Financial terms were not disclosed.

Formed in 2009 by two former executives at United Stationers, Steve Schwarz and Mark Hampton, SmartXpress sells a full line of business products online through various marketing partners, trade and professional associations and fundraising organizations. "The unique nature of our network marketing and one-to-many business model, which is largely online B2B, has been a tremendous learning base as we now move into the B2C market on behalf of TriMega independent dealers", said Hampton.

"Steve and Mark have built a profitable business platform using a distinctive mix of advanced technology and marketing methods from which TriMega and its members can benefit," said TriMega President Charlie Cleary. "And as we look forward to the next phase of the business expansion we see tremendous incremental opportunity in the B2C arena attributed largely to savvy search engine optimization and leading edge online marketing techniques. We also see that uniting hundreds of dealers together as a single online brand for retail consumers is much more relevant than hundreds of dealers pursuing these B2C consumers online via individual stand-alone websites. The new SmartXpress effort will supplement our members own branding, e-marketing efforts and online capabilities while not disrupting them", continued Cleary.

The transaction, expected to close early January, has Hampton staying on as President and CEO of SmartXpress, a subsidiary of TriMega to lead the online expansion into the B2C space with TriMega dealers. Schwarz will assist in the transition but has elected to pursue other business interests shortly following the closing.

The SmartXpress model is built on the MBS Dev system platform and utilizes the wholesale supply chain for order fulfillment. "The sophisticated MBS Dev system platform and operating model is built to scale quickly and provide real value to TriMega members in the online business products space", Hampton stated. "Additionally, the online capability will enable TriMega independents to capture additional market share in the online SMB space and new share in the growing B2C segment where consumers have primarily relied on the big box retailers", Hampton continued.

"TriMega, our Board of Directors and staff are very excited to have Mark on the TriMega executive team, given his significant industry experience and in light of this significant market share opportunity for independents", Cleary added. "SmartXpress fills a void in online selling and compliments our national account company, Point Nationwide at the other end of the market", stated Cleary.

Further details identifying the SmartXpress benefits to TriMega members and suppliers will be introduced at TriMega’s upcoming Regional Meetings, Action 2011, and Annual One-on-One Meeting.
